一字之差的差别

2012年3月，某大学一女生在学校看到一婚纱摄影店在促销艺术照的拍摄，因为觉得价格比较合理，又恰巧看中了一件白色小礼服。该女生便与这婚纱摄影店签订一份预订于2012年4月19号到该摄影店拍艺术照的合同，并为此支付了100元。可是由于突发状况，4月19日那天，该女生未能到那家店拍成艺术照，所以该女生想要回已经支付的100元。但是该婚纱摄影店认为，双方已经签订合同，而且是该女生违约在先，并且这100元是“定金”，而不是“订金”，因此他们没有义务返回这100元。该女生则认为这里的100元只是预付款，并且双方签订合同时，该婚纱店并没有说明“定金”与“订金”的区别，最后也没有拍摄成功，婚纱店就有责任退还这100元。双方各执一词，争论不休。

（拍案说法）此案中，因为一字之差，导致双方争论不休，婚纱店认为这100元是“定金”，而该女生则认为是“订金”，那这两者之间有什么不同呢？“定金”在法律上有比较严格的界定。我国定金在《担保法》上是债的一种担保方式，在《合同法》上是承担违约责任形式之一，其基本法律性质是违约定金，并具有担保合同履行的性质。“定金”的作用有两种情形：

1、合同正常履行时，定金充作价款或由交付方收回;

2、合同不履行时，适用定金罚则：即交付方违约的，无权收回;接受方违约的，应双倍返还。《中华人民共和国合同法》第一百一十五条规定，给付定金的一方不履行约定的义务的，无权要求返还定金；收受定金的一方不履行约定的义务的，应当双倍返还定金。而“订金” 在法律上并没有严格的界定，从文字的理解上来说，“订”的含义是订立、预订之意，实际上它具有预付款的性质，是当事人的一种支付手段，并不具备担保性质。在市场交易中，如买家不履行合同义务，并不表示他丧失了请求返还订金的权利;反之，若发展商不履行义务亦不须双倍返还订金，因此如果在此案中确认是“订金”，那么该婚纱店就有义务返还这100元。既然已经区分了“订金”与“定金”，那为什么还存在分歧，我们又如何判别是“订金”还是“定金”呢？在现实交易中，应该根据付款时商家开据的发票，认清是“定”还是“订”，另外就此案来说，根据我国《担保法》91条的规定： 定金的数额由当事人约定，但不得超过主合同标准额的20%。当事人一旦以书面形式对定金作了约定并实际支付了定金，即产生相应的法律后果。由于该女生拿到的发票是“定金”而非“订金”，因此婚纱店不必返还这100元，但是由于整个拍摄只有400元，而100元已经超过主合同标准额的20%，所以婚纱店要返还超过的那部分，即20元。

因此，在我们购买商品或者接受服务前，特别是各种校园里的促销活动，一定要看清交纳的款项究竟是“定金”还是“订金”，特别是数额较大的，一定要认真考虑清楚以后再决定。更不要一时兴起过后再后悔，这样有可能产生不必要的麻烦。
