2.1 我们，公司名称和地址

（填写中间方公司名称和地址），同意立即执行任何可能有利于促进目标达成的增加文件。该签署的被认可和保证的不可撤销佣金保证协议在买卖双方正式交易执行前将提交给买卖双方对应的银行。由卖方银行或由主要支付者的指定银行直接以银行转账的方式支付给上述中间方指定银行。

2.2 该转账支付金额不含税，受益者自行缴纳适当税费。

2.3 买卖双方及中间方任何一方自行负责各自税务和政府收取的相关费用。

3.1 该不可撤销佣金保证协议直到整个交易完全结束和终止方才失效。

4.1 该协议不可转移，不可分配，不可分开，并且有条件包含所有条款和协议。交易开始该协议按照条款1.1所述生效并执行，该协议在有效期中持续生效和执行，若要对本协议进行更新、扩充、转移或另外相关内容的增加需在签订本协议之日起5年内提出申请。

5.1 任何一方同意不得直接或间接披露，在签订此协议5年内不得设法避免和/或避开任一方当事人进行交易且所有当事人需遵从本协议所有条款、条件，有义务履行在202_（填入和中间方签订的保密协定的时间）签订的保密协定。所有当事人同意该不可撤销佣金保护协议作为保密协定的附件，该保密协定涉及到包含如下对象但不限所有当事人、及其雇主、雇员、合作伙伴、代理商、附属企业、子公司和总公司。

根据中华人民共和国合同法，甲乙双方本着自愿平等的原则，协商一致，签署以下协议，以资共同遵守。

第一条委托事项

甲方委托乙方寻找海外合作伙伴为甲方销售的潜在客户。

第二条佣金的计算，给付方式，给付时间

（1）甲方同意按每个成交客户的成交总额的10%支付佣金给乙方，订单，合计金额，佣金。

（2）给付方式及时间

第三条 违约责任

（1）甲方若不按本协议第二条（1）执行，逾期一天应付乙方逾期违约金，按所应付款的日万分之二计算。

根据《中华人民共和国合同法》和有关法律法规的规定，生产厂家与中间人就佣金事宜，双方经协商一致，签订本协议。

一 甲方责任

1、甲方应保证所生产产品的合法性及保证产品质量。

2、甲方与海外客商交易的具体价格，交货方式，支付方式等由甲方与海外客商双方协商约定，并将签署的协议、合同等法律文书备份一份给乙方，以便乙方知悉。

3、乙方不对甲方与海外客商的交易提供任何信用担保，以及甲方在以后的协议履约时和海外客户发生的一切纠纷，乙方概不承担连带和赔偿责任。甲方应严格按“FOB、C&F或者CIF或其他条款”执行与海外客商所签订的合同。

4、甲方对于乙方介绍的国内外买方之间的一切商业信函，以及附件或者抄送的形式及时通知乙方。

5、甲方承诺不得为回避乙方而采取直接或者间接的手段与乙方已经介绍给甲方国内外买方接触以获得订单。如果甲方实施此行被乙方以相关材料证明后，则甲方除了应付该被查证交易的佣金外，还需向乙方支付不低于改部分佣金50%的违约罚金。本条说是的佣金标准以不低于双方已经发生的改产品佣金的最高标准执行。

二 乙方责任

1、乙方的主要工作职责是为甲方介绍国内外买方。乙方的工作主要是为甲方寻找买方，一旦国内外买方与甲方形成固定交易关系（包括第一笔交易），则所有今后甲方与国内买方之间形成的交易额均视为乙方的工作成果。

2.、乙方对已经介绍给甲方的国内外买方的商业机密严格保密，如果乙方将介绍给甲方的国内外买方的机密直接或者间接泄露，乙方应承担由此造成的一切经济损失和后果。

三 佣金的计算、支付方式、支付时间

1、甲方承诺按每笔FOB合同成交总额的5%-10%（视具体情况而定），支付给乙方。第一次介绍，加拿大客户订单，佣金按5%来计算。

2、给付方式及时间：在甲方与乙方所介绍的国内外客商签订每笔合同且国内外客商货款100%付至甲方后，甲方承诺在五天内将全部佣金一次性支付给乙方，一笔合同支付一次佣金。佣金汇至乙方指定银行。

四 违约责任

1、甲方若不按本协议第三条的第2款执行，逾期应支付乙方滞纳金，滞纳金系数为：每天付总佣金的千分之三。

2、甲方同意凡乙方所介绍的国内外客商，其将来与甲方的每笔业务，甲方都将按本协议第三条第1款支付货款的5%-10%佣金给乙方，否则，甲方愿承担本条第1款约定的逾期付款违约金。

五 争议解决方式

如因本协议的履行而发生任何争议，经双方友好协商无法解决的，由广州仲裁委员会仲裁，仲裁结果对于双方具有法律约束力。

六 其他条款

1、但任何一次单次交易都将以本协议为基础，接受本协议的调整。涉及到单次交易的佣金、价格及条件由甲方与乙方根据本协议而确定。所有单次交易确认书都将作为本协议的附件并与本协议具有同等的法律效力。

2、本协议根据中华人民共和国法律而制定，并适用中华人民共和国法律。

3、甲乙双方对于本协议的签署以签字及加盖盖章的方式进行。

4、一旦本协议经双方签字（盖章），本合同即生效。

5、本合同未尽事宜双方协商解决。本协议一式两份，双方各执一份。
